  • Late payments subject to 1.5% monthly interest charge after 30-day grace period
  • Professional Websites ($1,500-$2,999): 50% deposit, 50% upon completion
  • Web Design Excellence ($3,000-$4,999): 50% deposit, 50% upon completion
  • Digital Transformation ($5,000-$10,000): 50% deposit, 50% upon completion
  • Digital Marketing Services: Monthly billing starting at $1,500/month
  • Brand Strategy Consultation: $2,500-$5,000, 50% deposit required

All fees are non-refundable once work commences. This policy ensures my commitment to your project and protects my investment in strategic development and creative excellence.

Intellectual Property

Intellectual property rights are structured to protect both parties while ensuring clear ownership:

  • All work remains property of Eximius Studio until full payment is received
  • Upon payment, usage rights transfer to client as specified in individual contract
  • Eximius Studio retains the right to showcase work in portfolio and marketing materials
  • Client warrants ownership of all materials provided to Eximius Studio
  • Third-party assets require separate licensing agreements when applicable

Portfolio Rights: I reserve the right to document and showcase my work as examples of my capabilities, unless specific confidentiality agreements restrict such usage.

Project Scope & Revisions

Project scope and revision parameters are clearly defined to ensure efficient project delivery:

  • Scope comprehensively defined in individual project contracts and proposals
  • Includes specified number of revision rounds per deliverable phase
  • Professional Websites: Up to 3 revision rounds included, additional revisions at $150/hour
  • Web Design Excellence: Up to 3 revision rounds included, additional revisions at $150/hour
  • Digital Transformation: Up to 4 revision rounds included, additional revisions at $175/hour
  • Digital Marketing: Ongoing optimization and adjustments included in monthly fee
  • Scope changes require written amendment and mutual agreement
  • Timeline adjustments may apply for significant scope modifications

Revision Guidelines: Revisions are intended for refinement and optimization, not fundamental direction changes. Major conceptual shifts constitute scope changes.

Confidentiality

I maintain strict confidentiality standards for all client relationships:

  • Mutual non-disclosure of confidential information between all parties
  • Confidentiality obligations extend 5 years beyond project completion
  • Excludes information that becomes publicly available through other sources
  • Includes all strategic insights, business information, and proprietary data
  • All collaborators bound by individual confidentiality agreements when applicable

Client Responsibilities

Successful project outcomes require active client participation and commitment:

  • Provide timely feedback and approvals within specified timeframes (typically 5 business days)
  • Supply all necessary materials and information required for project completion
  • Designate an authorized decision-maker for project approvals and strategic decisions
  • Meet all payment obligations according to the agreed schedule
  • Communicate project changes or concerns promptly to avoid delays
  • Participate in scheduled meetings and presentations as outlined in project timeline

Timeline Impact: Client delays in providing feedback or materials may result in project timeline adjustments and potential additional costs.

Limitation of Liability

My services are provided with the following liability limitations:

  • Services provided "as is" without warranty of specific business outcomes
  • Not liable for indirect or consequential damages resulting from our work
  • Total liability limited to the total project fee paid by client
  • No guarantee of specific business results or performance metrics
  • Client assumes responsibility for implementation and execution decisions

While I strive for excellence in all deliverables, business success depends on numerous factors beyond my direct control, including market conditions, implementation decisions, and ongoing execution.

Termination

Either party may terminate the engagement under the following conditions:

  • Either party may terminate with 30 days written notice without cause
  • Client pays for all work completed to date of termination at our standard rates
  • All materials and work product returned or transferred as appropriate
  • Confidentiality obligations survive termination indefinitely
  • Immediate termination allowed for material breach of contract terms
  • Final deliverables provided upon payment of outstanding balances

Termination Process: I aim to ensure smooth transitions and will provide reasonable assistance in transferring work product and project documentation.

Dispute Resolution

I am committed to resolving any disputes professionally and efficiently through my structured approach:

  • Good faith negotiation as the first step in dispute resolution

  • Binding arbitration as final resort for unresolved disputes
  • All terms governed by laws of Texas, United States
  • Venue for disputes limited to Dallas County, Texas courts or agreed arbitration
  • Prevailing party entitled to reasonable attorney fees and costs
